Position Overview
Aggregate Resource Industries, Inc. (ARI) is seeking a General Counsel to serve as the company’s chief legal officer and a full peer on the executive leadership team. This role is embedded in daily executive decision-making and provides strategic legal guidance across contracts, regulatory compliance, enterprise risk, corporate governance, and multi-state operations.

As ARI’s first internal legal leader, the General Counsel owns legal strategy and risk allocation across the enterprise, with the autonomy to build and scale the company’s legal function from the ground up. This role operates at the intersection of operations, risk, and long-term ownership strategy, supporting a highly regulated, multi-state business with complex operational exposure.

This role is built for someone who wants to help shape an organization, not simply advise on it. The General Counsel will have a meaningful hand in ARI’s long-term architecture, including governance, ownership strategy, and the legal and operational systems that allow the company to scale. That work sits at the center of where ARI is going.

Schedule
This is a fully remote position with periodic travel to ARI’s headquarters in Springfield, Oregon, and field operations as needed.

Compensation
  • Compensation is expected to be $250K–$300K range, depending on experience, with flexibility for exceptional candidates.
  • Compensation is dependent on experience.

Job Requirements / Qualifications
  • Education: Juris Doctor (J.D.) from an accredited law school required
  • Licensure: Active bar membership required; ability to obtain Oregon licensure
  • Experience: Minimum of 10 years of progressive legal experience, including commercial contracting, dispute resolution, and risk management
  • Industry Experience: Construction industry experience strongly preferred; experience supporting regulated, multi-state operations is highly desirable
  • Leadership Experience: Demonstrated ability to operate as the sole internal legal leader and build legal processes within a growing organization

Key Responsibilities
  • Executive Advisory: Serves as a core member of the executive leadership team, providing forward-looking legal guidance during strategic decisions and participating in executive and advisory board discussions
  • Contracts & Commercial Transactions: Drafts, reviews, and negotiates complex agreements including EPC subcontracts, MSAs, unit-price agreements, supply contracts, equipment leases, fabrication agreements, and vendor arrangements, with full ownership of indemnity, insurance, payment security, lien rights, and overall risk allocation
  • Regulatory Strategy: Advises on legal exposure across a highly complex regulatory environment, including ATF explosives licensing, PHMSA Special Permits, FMCSA HAZMAT requirements, MSHA, OSHA, DEQ and environmental permitting, FAA aviation compliance, and multi-state contractor licensing
  • Risk Management & Insurance: Partners with finance leadership to develop and execute enterprise risk strategies, including oversight of insurance programs and evaluation of captive insurance structures such as 831(b) arrangements
  • Disputes & Claims: Oversees dispute resolution strategy and outside counsel, with a focus on lien enforcement, collections, and defense of operational claims supported by strong documentation and monitoring practices
  • Documentation & Risk Controls: Reinforces company-wide documentation standards that support defensibility in claims, disputes, and regulatory compliance
  • Tax Strategy & Optimization: Partners with the CFO and external advisors to identify and support tax-advantaged strategies, including R&D credits, IRA/IIJA tax incentives, depreciation strategies, Section 1031 exchanges, captive insurance structures, and multi-state nexus considerations
  • Multi-State Employment & Labor Compliance: Provides guidance on wage and hour laws, employee classification, employment agreements, and Project Labor Agreements, including compliance with Davis-Bacon and other prevailing wage requirements across multiple jurisdictions
  • Intellectual Property & AI Governance: Protects company intellectual property, trade secrets, and proprietary systems, while developing and maintaining policies governing the use of AI tools, data handling, and client-imposed technology restrictions
  • Corporate Governance & Ownership Strategy: Supports multi-entity governance, intercompany agreements, and ownership-related initiatives, including trust and estate considerations and long-term organizational structuring
  • Real Estate & Land Use: Supports real property transactions, leases, quarry and mineral rights agreements, easements, and land use permitting tied to operational and industrial activities
  • Legal Education: Develops and delivers training to enhance legal awareness, contract compliance, and documentation discipline across executive leadership, project teams, and field personnel
  • Additional duties: Perform other duties to contribute to the company's overall success
