How You Will Contribute
- Support Chief Counsel, senior management and Commercial team in review and negotiation of commercial SaaS technology contracts, and associated supporting documents
- Develop strong working relationships with Commercial team members and Sales leadership
- Ensure that all contracts and agreements accurately reflect business objectives as well as compliance with all laws and regulatory requirements
- Collaborate with internal team members on day-to-day compliance and risk mitigation issues
- Assist and participate in negotiations with opposing counsel
- Collaborate with contracts team to ensure timely processing of all contracts and amendments, and tracking of all client and vendor contracts
- Provide support for RFI and RFP processes when needed
- Participate in business development and operational meetings to ensure commitments and obligations are in the best interest of the Company
- Perform other ad-hoc duties as assigned
For Consideration You Will Have
- JD Degree required from an accredited law school and licensed to practice law
- 5+ years in a business setting supporting commercial team members at various levels
- Understanding of contracting in support of software technology solutions, particularly in the pharmaceutical industry, a plus
- Experience with non-disclosure agreements, professional service agreements, MSAs, SOWs, and software licensing is preferred
- Experience with IP Provisions, Limitation of Liability and Indemnification negotiation, as well as Data Privacy, Data Security and GDPR, a plus
- Strong written and verbal communication skills
- Goal and process oriented with a demonstrated ability to prioritize tasks and use sound judgment to plan and accomplish objectives
- Excellent negotiating, drafting, problem solving, communications and interpersonal skills
- Strong attention to detail
- Ability to work under pressure and meet deadlines
- Team player with a positive attitude passion, energy and commitment
- Hands on and self-motivated with ability to take ownership of issues, drive solutions to conclusion and thrive in a fast-past, team-oriented environment
