Legal Counsel

The Legal Counsel provides comprehensive legal support and guidance to the organization to support the management or risk and maintenance of costs.

How will you contribute to the team?

To perform this role successfully, the candidate will be responsible for but not limited to the following:

Risk Management:
  • Create and implement strategic approaches to manage legal risks at both corporate and project levels.
  • Review various types of commercial and corporate agreements and provide legal advice on the potential legal implications for the organization.  Work with leadership to identify and manage risk.
  • Assist project teams by providing legal advice on managing project risks and related legal matters, ensuring projects are executed within legal parameters.
Litigation Management:
  • Assist in the handling of disputes that arise during construction projects through negotiation, mediation, arbitration, or litigation. Attend project meetings at jobsite to foster collaboration and facilitate early detection of claims or disputes.
  • Oversee outside counsel on various matters around corporate law, construction law, and insurance claims, ensuring effective communication and collaboration.  
  • Monitor and manage external legal costs to ensure that the organization is getting value for the money and look for cost saving opportunities.
Preparing Legal Documents:
  • Draft various contractual agreements, including corporate agreements, procurement agreements, and construction service delivery agreements and ensure they are legally sound and protect the company's interests ensuring clarity in contract terms to prevent disputes.
Insurance Management:
  • Review and provide advice on insurance policy risks and managing litigation related to insurance claims.
  • Interface with insurance brokers on coverages and renewals.  Identify gaps coverage gaps and work with management and the insurer to address.
Records Management and Legal Knowledge:
  • Maintain and manage corporate legal records, ensuring compliance with legal requirements and internal corporate governance.
  • Stay current with laws, rulings, and regulations that impact the organization.
  • Provide training to employees on legislation, compliance, and best practices to minimize legal risks while promoting a culture of legal awareness and ethical behaviour.
Staff Management:
  • Lead, coach, develop and motivate direct reports.   Ensure that performance evaluations are completed in a timely manner.
  • Manage team morale ensuring that the project team is working cohesively and address in a timely manner.  
Education and Experience: 
  • A law degree (JD or LLB) and licensed with the Law Society of Ontario.
  • 8 years practicing business corporate law with at least 3 years experience with construction law.  
  • Strong understanding of construction law, contract law, and relevant regulations in Canada.
  • Exhibit excellent negotiation, communication, and analytical skills, with the ability to effectively convey complex legal concepts to non-legal stakeholders.
  • Demonstrate strong organizational skills, professionalism, and attention to detail.
